Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using Pro Coach Studio (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you may not use the Service.

2. Institutional and Pilot Program Agreements

If you are accessing the Service as part of a pilot program or through an agreement between your school, district, or other institution ("Institution") and us, your use of the Service may also be governed by the terms of that separate agreement. In the event of a conflict between these Terms and your Institution's agreement, the terms of the Institution's agreement will prevail. Please contact your athletic administrator or institutional representative for details regarding the length of service, specific features, and other terms provided under your institution's plan.

3. Description of Service

Pro Coach Studio is an AI-powered platform that provides tools for coaching professionals, including but not limited to practice planning, communication templates, fundraising ideas, travel planning, and a general AI chat feature. The features and functionalities are subject to change at our sole discretion.

4. Subscriptions, Payments, and Refunds

While some features of the Service may be offered for free, we reserve the right to introduce fees or require a paid subscription for access to all or parts of the Service in the future.

• Fees: You agree to pay all applicable fees for any paid services you purchase, as described on the platform at the time of purchase.
• Billing: If you purchase a subscription, you authorize us or our third-party payment processor to charge your chosen payment method on a recurring basis until you cancel.
• Refunds: We do not currently process transactions on our platform. Should we introduce paid services, our refund policy will be made available. Generally, unless required by law, all fees are non-refundable. To request a refund under special circumstances, you must contact us using the information in the "Contact Information" section below.

5. User Accounts and Eligibility

• Age Requirement: You must be at least 18 years old and a coaching professional to use this Service.
• Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
• Accurate Information: You agree to provide accurate, current, and complete information during registration and to keep it updated.

6. User Responsibilities and Acceptable Use

You agree to use the Service in compliance with all applicable laws and regulations. You agree NOT to:

• Use the Service for any illegal, harmful, or unauthorized purpose.
• Transmit any content that is unlawful, defamatory, harassing, abusive, or otherwise objectionable.
• Violate any privacy laws, including FERPA and COPPA, by submitting personally identifiable information about students or minors.
• Attempt to gain unauthorized access to our systems, reverse engineer, decompile, or otherwise try to discover the source code of the Service.
• Use any automated systems (bots, scrapers, etc.) to access the Service without our express written permission.

• Our Content: The Service and its original content, features, and functionality are and will remain the exclusive property of Pro Coach Studio and its licensors, protected by copyright and other intellectual property laws.
• Your Content: You retain ownership of the prompts and inputs you submit ("User Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and process your User Content solely for the purpose of operating, providing, and improving the Service.

9. Right to Modify, Suspend, or Terminate Service

As a new company, our Service is constantly evolving. We reserve the right, at our sole discretion, to modify, suspend, or discontinue the Service (or any part or feature thereof) at any time. This includes, but is not limited to, removing features, changing access Tiers, converting free accounts to paid accounts, or terminating the Service entirely. We will make commercially reasonable efforts to notify you of any material changes that adversely affect you, but we are under no obligation to do so. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Service.

10. Termination of Your Account

We may suspend or terminate your access to the Service at any time, for any reason, including but not limited to your violation of these Terms. You may delete your account at any time through your account settings or by contacting us.

11. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

IN NO EVENT WILL PRO COACH STUDIO, ITS AFFILIATES, OR THEIR LICENSORS, EMPLOYEES, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

12. Indemnification

You agree to defend, indemnify, and hold harmless Pro Coach Studio and its affiliates, officers, directors, and employees from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including your submission of User Content that violates law or the rights of a third party.

13. Dispute Resolution and Governing Law

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles.
• Binding Arbitration: You agree that any dispute or claim arising from these Terms or your use of the Service will be resolved by binding arbitration, rather than in court. The arbitration will be conducted by the American Arbitration Association (AAA) under its rules.
• Class Action Waiver: YOU AND PRO COACH STUDIO AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

14. General Provisions

• Changes to Terms: We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Effective Date" at the top of this page and/or through in-app notifications. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
• Entire Agreement: These Terms constitute the entire agreement between you and Pro Coach Studio regarding the use of the Service.
• Severability: If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
